US 98GTL Sedan Trans swap

Could any one fill me in on the possibility of swapping my auto trans for a 5 speed?
Whats all needs to happen?
Besides getting the trans, what else do i need?
Down side to any of this?

It's very $$ & Labor intensive. Almost more challenging than an engine swap.
